Early Access Agreement

These HOPS Beta / Early Access Terms (“Beta Terms”) supplement the HOPS Terms of Service available at https://www.hops.ai/legal/terms-of-service (“Terms”). Capitalized terms used but not defined in these Beta Terms have the meanings given in the Terms.
By clicking “Accept,” “I Agree,” or a similar button or checkbox, requesting or accepting early access, or accessing or using any Early Access Services, You agree to these Beta Terms. If You are accepting these Beta Terms on behalf of an Organization, You represent that You have authority to bind that Organization.
These Beta Terms apply to Your access to or use of any HOPS beta, pilot, preview, early access, design partner, experimental, limited availability, evaluation, pre-release, waitlist, or similar feature, product, service, program, or functionality (“Early Access Services”). If these Beta Terms conflict with the Terms, these Beta Terms control only for Early Access Services. The Terms control in all other respects.
1. Early Access Services
Early Access Services are Beta Services under the Terms. We may make Early Access Services available to selected users, waitlist users, prospects, customers, design partners, or other participants at Our discretion. We may change, limit, suspend, discontinue, reset, commercialize, or make generally available any Early Access Services at any time, with or without notice. We are not required to make any Early Access Services generally available or include any Early Access Services in any future product or service. Invitation emails, Order Terms, Account Pages, product notices, in-product flows, documentation, or other written or electronic terms may specify additional details for a particular beta, pilot, cohort, or early access program, including eligibility, duration, Usage Limits, included credits, permitted users, fees, support, or feature scope.
2. Access and Use
Subject to the Terms and these Beta Terms, You may use Early Access Services only for evaluation, testing, internal business assessment, feedback, and other purposes We authorize. Unless We expressly permit otherwise in writing, through the Services, applicable Order Terms, or other applicable documentation, You should not rely on Early Access Services for production, regulated, high-risk, external-facing, customer-impacting, or revenue-generating activities. You may not transfer, share, resell, sublicense, or otherwise make Early Access Services available to any third party except as We expressly authorize.
3. Fees, Credits, and Usage Limits
Early Access Services may be offered without a Subscription Fee, but Usage Limits, token caps, Included Credits, model limits, rate limits, seat limits, feature limits, or other consumption thresholds may apply. We may charge for Usage-Based Features, tokens, credits, model usage, compute, automations, integrations, connected tool usage, excess usage, Top-Up Credits, or other paid usage if You or an Authorized Account Admin affirmatively purchase, enable, or approve the applicable paid usage.
If You exceed applicable Usage Limits, or if We reasonably determine that continued access creates operational, legal, security, capacity, billing, or abuse risk, We may throttle, limit, suspend, disable, require verification, require an upgrade, require purchase of additional credits, or terminate access. You will not receive compensation for participating in early access or for providing Feedback.
4. Confidentiality
Non-public Early Access Services and related non-public information are Our Confidential Information, including non-public features, functionality, designs, screenshots, roadmap information, technical information, performance information, security information, pricing, cohort information, communications, documentation, and other information We identify as confidential or that reasonably should be understood as confidential. You may not disclose, publish, screenshot, record, benchmark, demonstrate, or publicly discuss non-public Early Access Services without Our prior written consent. This restriction does not apply to information We make publicly available on the HOPS website or in other public materials, unless We separately identify that information as confidential.
5. Feedback
If You provide Feedback regarding Early Access Services, We may use it in accordance with the Terms. You represent that Your Feedback is truthful, that You have the right to provide it, and that it does not include any third party's confidential information.
6. Data, Backups, and Review
Your Content, Usage Data, integrations, Third-Party Products, BYOK, permissions, and account responsibilities are governed by the Terms and any applicable Order Terms or data processing terms. Early Access Services may be incomplete or unstable, and data, settings, configurations, workflows, integrations, memories, audit logs, files, documents, tables, or other materials associated with Early Access Services may be lost, corrupted, unavailable, deleted, reset, migrated, or changed. You are responsible for maintaining appropriate backups and for reviewing Output and agent actions before relying on them, disclosing them externally, or allowing them to affect any business, legal, security, compliance, financial, HR, customer, or operational decision.
7. No SLA; As-Is
Early Access Services are experimental and may contain bugs, errors, omissions, vulnerabilities, performance issues, or other defects. Unless We expressly agree otherwise in signed written terms, Early Access Services are not subject to uptime commitments, service level agreements, support commitments, retention commitments, security commitments, compatibility commitments, roadmap commitments, or performance commitments. To the maximum extent permitted by applicable law, Early Access Services are provided “as is” and “as available,” without warranties of any kind.
8. Termination
We may suspend, limit, revoke, or terminate Your access to Early Access Services at any time, with or without notice, including for breach, misuse, excessive usage, capacity limits, nonpayment, chargeback activity, security risk, legal risk, compliance risk, program changes, discontinuation, general availability release, or business reasons. Upon termination, Your right to use the applicable Early Access Services ends immediately. You must stop using the Early Access Services and, upon request, return or destroy Our Confidential Information.
9. Terms Continue to Apply
Except as expressly modified by these Beta Terms, the Terms remain in full force and effect. Without limiting the foregoing, the following provisions of the Terms continue to apply to Your access to and use of Early Access Services: license restrictions, acceptable use, payment, proprietary rights, disclaimers, indemnification, limitation of liability, governing law, arbitration, class action waiver, jury waiver, notices, and miscellaneous terms.
